These Terms & Conditions ("Terms") govern your access to and use of the ORBITEX SYNC website and software platform operated by ORBITEX FZE LLC, United Arab Emirates.

By accessing, registering for, subscribing to, or using ORBITEX SYNC, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not use the platform.

1. ABOUT ORBITEX SYNC

ORBITEX SYNC is a software-as-a-service (SaaS) business management and analytics platform designed to help businesses organize, monitor, and analyze their own business information.

The platform may provide functionality including:

  • Invoice management and organization

  • Payment deadline and status tracking

  • Business cash-flow monitoring

  • Marketing performance tracking

  • Marketing ROI analysis

  • Customer acquisition analytics

  • Customer retention analytics

  • Customer growth analytics

  • Business dashboards and reports

  • Business performance monitoring

ORBITEX SYNC provides software tools that allow users to record, organize, monitor, and analyze information provided by the user.

2. NO FINANCIAL OR PAYMENT SERVICES

ORBITEX SYNC is a software and analytics platform and is not a bank, financial institution, payment institution, money transmitter, lender, investment service provider, broker, or financial advisor.

ORBITEX SYNC does not:

  • Hold or custody user funds

  • Receive funds on behalf of users

  • Transfer funds on behalf of users

  • Execute payments

  • Initiate bank transfers

  • Provide bank accounts

  • Provide payment accounts

  • Provide lending or credit

  • Provide investment services

  • Buy or sell financial instruments

  • Provide brokerage services

  • Provide financial advice

  • Manage users' bank accounts

  • Act as an intermediary between users and their banks

Financial-related information within ORBITEX SYNC is provided by users and is used solely for business tracking, reporting, and analytical purposes.

3. NO BANK ACCOUNT INTEGRATION

ORBITEX SYNC does not require users to connect their bank accounts.

The platform does not require access to online banking credentials and does not directly access users' bank accounts.

Unless expressly stated otherwise for a specific future feature, ORBITEX SYNC does not:

  • Connect to bank accounts

  • Retrieve bank balances directly from financial institutions

  • Access banking credentials

  • Initiate bank transactions

  • Automatically move funds

  • Execute payments or transfers

Users may manually enter business information for tracking and analysis.

4. ELIGIBILITY

You must be legally capable of entering into a binding agreement to use ORBITEX SYNC.

If you use ORBITEX SYNC on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

5. ACCOUNT REGISTRATION

Certain features may require you to create an account.

You agree to:

  • Provide accurate and current information

  • Maintain the security of your account credentials

  • Keep your account information up to date

  • Not share your account credentials with unauthorized persons

  • Notify us if you suspect unauthorized access to your account

You are responsible for activity occurring through your account unless caused by our failure to maintain reasonable security.

6. USER DATA AND BUSINESS INFORMATION

Users may enter or upload information into ORBITEX SYNC, including:

  • Invoices

  • Payment information

  • Revenue information

  • Expense information

  • Cash-flow information

  • Marketing information

  • Customer information

  • Business performance information

  • Other business-related data

Users retain ownership of the business information and content they submit to the platform, subject to the rights necessary for us to operate the service.

You represent and warrant that you have the necessary rights and permissions to upload and process such information.

7. USER RESPONSIBILITY FOR DATA

You are solely responsible for the accuracy, legality, completeness, and reliability of information you enter or upload into ORBITEX SYNC.

ORBITEX SYNC does not independently verify information submitted by users.

You must not upload or use information in a manner that violates:

  • Applicable law

  • Privacy rights

  • Intellectual property rights

  • Confidentiality obligations

  • Contractual obligations

  • Rights of third parties

8. INVOICE TRACKING

ORBITEX SYNC may provide tools for recording and monitoring invoice-related information.

These features may include:

  • Invoice organization

  • Payment deadline tracking

  • Payment status tracking

  • Overdue notifications

  • Reporting

  • Cash-flow monitoring

These features are provided solely as software tools.

ORBITEX SYNC does not collect, process, settle, or transfer payments associated with invoices.

An invoice or payment status displayed within the platform does not mean that ORBITEX SYNC has received, processed, or verified the underlying payment.

9. MARKETING ANALYTICS

ORBITEX SYNC may provide tools for tracking and analyzing marketing activity.

Users may enter information such as:

  • Campaign data

  • Advertising expenditure

  • Marketing channels

  • Conversion information

  • Revenue information

  • ROI metrics

  • Campaign performance

Analytics and calculations are generated based on information provided by the user.

ORBITEX SYNC does not guarantee that analytics, calculations, projections, or recommendations will accurately predict future business performance.

10. CUSTOMER GROWTH ANALYTICS

ORBITEX SYNC may provide tools for analyzing customer acquisition, retention, activity, segmentation, and growth.

These features are intended to assist users with internal business analysis and decision-making.

The results generated by the platform should not be considered guarantees of future revenue, customer growth, profitability, or business performance.

11. SOFTWARE LICENSE

Subject to these Terms and payment of applicable subscription fees, ORBITEX FZE LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use ORBITEX SYNC during your active subscription.

You may use the platform solely for legitimate business purposes and in accordance with these Terms.

You may not:

  • Copy or reproduce the platform

  • Resell or redistribute the platform without authorization

  • Rent or lease access to the platform

  • Reverse engineer the software

  • Attempt to access the source code

  • Circumvent security measures

  • Interfere with platform operation

  • Use the platform to violate applicable law

  • Use automated systems to abuse or overload the service

12. SUBSCRIPTIONS AND FEES

ORBITEX SYNC may be offered through paid subscription plans.

Subscription prices, billing periods, features, and applicable limits will be displayed at the time of purchase.

By purchasing a subscription, you authorize the applicable payment provider to charge the selected payment method for the applicable subscription fees.

Subscriptions may automatically renew if this is clearly stated during the purchase process.

13. PAYMENT PROCESSING

Payments for ORBITEX SYNC subscriptions may be processed by third-party payment service providers.

Payments made through the platform are payments for ORBITEX SYNC software and services only.

ORBITEX SYNC does not process payments between users and their customers.

ORBITEX SYNC does not receive or transfer money belonging to users' customers.

If a user records an invoice or payment amount within the platform, that information is used solely for tracking and analytics.

14. CANCELLATION

Users may cancel their subscription according to the cancellation options made available through their account or subscription management interface.

Cancellation will generally prevent future renewal while allowing access to the service until the end of the applicable paid subscription period, unless otherwise stated at the time of cancellation.

15. REFUNDS

Refund eligibility depends on the applicable subscription plan and purchase terms displayed at the time of purchase.

Unless otherwise required by applicable law, subscription fees already paid may be non-refundable.

Where required by applicable law, statutory consumer rights remain unaffected.

16. FREE TRIALS AND PROMOTIONAL OFFERS

ORBITEX SYNC may occasionally offer free trials, promotional periods, discounts, or other offers.

Specific terms may apply to each promotion.

We reserve the right to modify or discontinue promotional offers at any time, subject to applicable law and the terms of the specific promotion.

17. INTELLECTUAL PROPERTY

All rights, title, and interest in ORBITEX SYNC, including:

  • Software

  • Website

  • Platform design

  • Branding

  • Logos

  • Text

  • Graphics

  • Interfaces

  • Features

  • Documentation

  • Other proprietary materials

are owned by or licensed to ORBITEX FZE LLC unless otherwise stated.

These Terms do not transfer ownership of ORBITEX SYNC or its intellectual property to users.

18. USER FEEDBACK

If you voluntarily provide suggestions, feedback, ideas, or recommendations regarding ORBITEX SYNC, you grant us the right to use such feedback for purposes of improving and developing our products and services without compensation, unless otherwise agreed in writing.

19. SERVICE AVAILABILITY

We aim to keep ORBITEX SYNC available and reliable, but we do not guarantee uninterrupted or error-free operation.

The platform may occasionally be unavailable because of:

  • Maintenance

  • Updates

  • Technical issues

  • Security incidents

  • Infrastructure failures

  • Third-party service interruptions

  • Events beyond our reasonable control

We may modify, suspend, or discontinue features where reasonably necessary.

20. THIRD-PARTY SERVICES

ORBITEX SYNC may rely on third-party services and infrastructure, including:

  • Cloud hosting providers

  • Payment processors

  • Email providers

  • Analytics providers

  • Authentication services

  • Security providers

  • Other technology providers

Third-party services may have their own terms and privacy policies.

ORBITEX FZE LLC is not responsible for services controlled exclusively by third parties.

21. SECURITY

However, no online service can be guaranteed to be completely secure.

Users are responsible for maintaining appropriate security of their accounts and access credentials.

22. PROHIBITED USE

You may not use ORBITEX SYNC to:

  • Facilitate illegal activities

  • Upload malicious software

  • Attempt unauthorized access

  • Interfere with platform security

  • Abuse or disrupt the service

23. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, ORBITEX SYNC is provided on an "as is" and "as available" basis.

We do not guarantee that:

  • The platform will always be available

  • The platform will be error-free

  • Information entered by users will be accurate

  • Analytics will always be accurate or complete

  • Business insights will produce specific results

  • The platform will meet every user's particular requirements

ORBITEX SYNC is a software and analytical tool and should not be relied upon as a substitute for professional legal, accounting, tax, financial, or business advice.

24. FINANCIAL INFORMATION DISCLAIMER

Any financial-related functionality provided by ORBITEX SYNC is intended solely for business information tracking and analytics.

ORBITEX SYNC does not provide financial advice, investment advice, accounting services, banking services, payment services, or other regulated financial services.

Users are responsible for independently verifying financial information and obtaining professional advice where appropriate.

ORBITEX SYNC does not guarantee the accuracy of financial information entered by users or the results generated from that information.

25. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, ORBITEX FZE LLC shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of ORBITEX SYNC.

This includes, without limitation:

  • Loss of profits

  • Loss of revenue

  • Loss of business opportunities

  • Loss of data

  • Business interruption

  • Reliance on analytics or reports

  • Errors in user-provided information

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

26. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ORBITEX FZE LLC and its officers, employees, contractors, and service providers from claims, damages, liabilities, losses, and expenses arising from:

  • Your use of ORBITEX SYNC

  • Your violation of these Terms

  • Your violation of applicable law

  • Your violation of third-party rights

  • Information or content you upload to the platform

27. SUSPENSION AND TERMINATION

We may suspend or terminate access to ORBITEX SYNC if:

  • You materially violate these Terms

  • You engage in fraudulent or abusive activity

  • Your use creates a security risk

  • You use the platform for unlawful purposes

  • Required by law

  • Necessary to protect our platform or other users

Upon termination, your right to access the platform will cease.

Where applicable, we may provide reasonable notice before termination unless immediate action is necessary.

28. DATA AFTER TERMINATION

After termination or cancellation, user data may be retained for a limited period as reasonably necessary for legal, security, accounting, dispute-resolution, or legitimate business purposes.

Where applicable, data may subsequently be deleted or anonymized in accordance with our Privacy Policy and applicable law.

29. PRIVACY

Our collection and use of personal information is governed by our Privacy Policy.

The Privacy Policy forms part of these Terms and should be read together with them.

30. CHANGES TO THESE TERMS

We may update these Terms from time to time.

When changes are made, we will update the "Last Updated" date.

Where required by applicable law, we may provide additional notice of material changes.

Your continued use of ORBITEX SYNC after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

31. GOVERNING LAW

These Terms shall be governed by the applicable laws of the United Arab Emirates, subject to any mandatory laws and rights that may apply to users based on their jurisdiction.

Any disputes arising in connection with these Terms shall be handled by the competent courts or dispute-resolution authorities having jurisdiction over ORBITEX FZE LLC, unless otherwise required by applicable law.

32. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

33. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other policies expressly incorporated into these Terms, constitute the entire agreement between you and ORBITEX FZE LLC concerning your use of ORBITEX SYNC.

35. FINAL SERVICE CLARIFICATION

For avoidance of doubt, ORBITEX SYNC is a business management and analytics software platform.

The platform allows businesses to manually enter, upload, organize, monitor, and analyze their own business information.

ORBITEX SYNC does not hold, control, transmit, transfer, invest, lend, exchange, or otherwise handle funds belonging to users or their customers.

ORBITEX SYNC does not provide:

  • Banking services

  • Payment processing services for users' customers

  • Money transmission services

  • Lending services

  • Investment services

  • Brokerage services

  • Financial advisory services

Any financial information displayed in the platform is supplied by the user and is intended for internal business tracking, reporting, and analytics.

Any payment made to ORBITEX FZE LLC is solely for ORBITEX SYNC software or subscription services.

ORBITEX SYNC does not participate in or execute the underlying financial transactions represented by information entered into the platform.
